Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of Layer, a micro survey service offered from the Netherlands.

By creating an account or using our service, you agree to these Terms. If you do not agree, please do not use Layer.

2. Definitions

• "Layer," "we," "us," "our" refers to the Layer service and platform.
• "User," "you," "your" refers to any person or entity that creates a Layer account.
• "Service" refers to the Layer platform, including the website (layer.nu), dashboard, API, and embed widget.
• "Survey" or "Micro survey" refers to a survey created through Layer, shown as an on-site popup or shared via a link or QR code.
• "Respondent" refers to a visitor of your website who interacts with a Layer survey.
• "Credits" refers to the units used to process survey responses within Layer.

3. Account registration

To use Layer, you must create an account using a valid email address or via a supported OAuth provider (Google). You are responsible for keeping your login credentials secure. You must be at least 16 years old to create an account.

Each person or entity may hold one account unless Layer explicitly grants permission for additional accounts. We reserve the right to suspend or delete accounts that violate these Terms.

4. The service

4.1 What Layer provides

Layer allows you to create micro surveys that you can embed on your website or share via a link or QR code. Survey responses are collected, stored, and displayed in the Layer dashboard. You can export response data in CSV format.

4.2 Availability

We aim to keep Layer available at all times, but we do not guarantee uninterrupted or error-free service. We may perform maintenance, deploy updates, or experience downtime. We are not liable for any losses caused by temporary unavailability of the service.

4.3 Changes to the service

We may modify, add, or remove features of the service at any time. If a change significantly affects your use, we will notify you in advance where reasonably possible.

5. Credits and payment

5.1 How credits work

Layer uses a credit-based system. Each survey response costs at least 1 credit. Additional credits are charged for optional features:

New accounts receive 25 free credits to try the service.

5.2 Purchasing credits

Credits can be purchased through the dashboard in the following packages:

All prices are in euros and include VAT where applicable. The VAT rate depends on your location and business status; for EU businesses outside the Netherlands with a valid VAT number, the VAT is reverse-charged (0%). The amount shown is always the total amount you pay. Your invoice states the VAT breakdown. Payments are processed securely by Mollie.

5.3 No subscriptions, no recurring charges

Layer does not use subscriptions. You buy credits when you need them, and they remain valid until used. There are no recurring charges, monthly fees, or automatic renewals.

5.4 Refund policy

Purchased credits are non-refundable once used.

Business customers: the statutory right of withdrawal does not apply to business purchases. Business customers are not entitled to a refund of unused credits. Requests can be submitted via hinospam@layer.nu; we assess these as a courtesy, without being obliged to grant them.

Consumers: if you purchase credits as a consumer, you have a statutory right of withdrawal for 14 days after purchase under EU consumer law. If you withdraw within this period, we will refund the unused portion of your purchase. For credits already used during this period, a proportional amount is deducted.

5.5 Invoicing

An invoice is generated automatically for each credit purchase and can be downloaded from the dashboard. Invoices comply with Dutch fiscal requirements.

6. Free credits and referral program

6.1 Free credits

Every new account receives 25 free credits. These credits are subject to the same rules as purchased credits.

6.2 Referral program

You can earn 25 bonus credits for each new user who signs up via your referral link and subsequently purchases credits. We have anti-abuse measures in place. Abuse of the referral program (including creating fake accounts) may result in forfeiture of bonus credits and account suspension.

7. Acceptable use

You agree to use Layer responsibly and lawfully. You may not:

• Use Layer for any illegal purpose or to collect data in violation of applicable privacy laws
• Create surveys that contain illegal, abusive, threatening, defamatory, or discriminatory content
• Attempt to exploit, reverse-engineer, or interfere with the technical infrastructure of the service
• Use automated tools to create accounts, submit responses, or manipulate the system
• Impersonate another person or entity
• Resell or redistribute access to the service without our written consent
• Use the service to send unsolicited commercial messages (spam)

We reserve the right to suspend or terminate your account if you violate these rules, without prior notice and without refund of remaining credits.

8. Your content and data

8.1 Ownership

You retain ownership of all content you create through Layer, including survey questions, configurations, and collected responses. Layer does not claim any intellectual property rights over your content.

8.2 License to Layer

By using the service, you grant Layer a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the service to you.

8.3 Your responsibilities as data controller

When you collect personal data from respondents through Layer surveys, you act as the data controller under the GDPR. You are responsible for:

• Having a valid legal basis for collecting the data
• Informing respondents about the data collection in your own privacy policy
• Responding to data subject requests from your respondents
• Ensuring your use of collected data complies with applicable laws

8.4 Data export and deletion

You can export your survey response data in CSV format at any time. You can delete individual surveys or your entire account through the dashboard. When you delete your account, all associated data (surveys, responses, account details) is permanently removed, except for invoices and payment records which are retained for 7 years as required by Dutch fiscal law.

9. Intellectual property

The Layer name, logo, website design, dashboard interface, embed widget code, and all related materials are the intellectual property of Layer. You may not copy, modify, or redistribute these without written permission, except for the embed code, the shareable survey link, and the QR code, which you are explicitly permitted to use to display and share your own surveys.

10. Teams

Layer allows you to invite team members to your account. Team members share access to your surveys and response data. As the account owner, you are responsible for the actions of your team members within the service. Your first additional team member is free. Every seat beyond that costs 250 credits.

11. Limitation of liability

To the maximum extent permitted by law:

• Layer is provided "as is" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• Our total liability for any claim arising from or related to the service is limited to the amount you have paid to Layer in the 12 months preceding the event giving rise to the claim.
• We are not responsible for the content of surveys created by users, or for how users use the data they collect.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or willful misconduct.

12. Indemnification

You agree to indemnify and hold Layer harmless from any claims, damages, losses, or costs (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any applicable law or third-party rights.

13. Suspension and termination

13.1 By you

You may stop using Layer and delete your account at any time through the dashboard settings. Deletion is permanent and cannot be undone.

13.2 By Layer

We may suspend or terminate your account if you violate these Terms, if your use poses a risk to the service or other users, or if required by law. Where possible, we will notify you before taking action and give you a reasonable opportunity to resolve the issue.

13.3 Effect of termination

Upon termination, your right to use the service ceases immediately. Any unused credits are forfeited unless termination was initiated by Layer without cause, in which case we will refund unused purchased credits upon request.

14. Promo codes

We may offer promotional codes for bonus credits from time to time. Promo codes are subject to their specific terms, can only be redeemed once per account, and may expire. We reserve the right to revoke promo codes in case of abuse.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the dashboard at least 14 days before the changes take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you should stop using the service and delete your account.

16. Governing law and disputes

These Terms are governed by the laws of the Netherlands. Any disputes arising from these Terms or your use of the service will be submitted to the competent court in 's-Hertogenbosch, the Netherlands.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
